Constitution and Bylaws
Lions Club of Lake Lure, North Carolina

This Club was chartered by and under the jurisdiction of the International Association of Lions Clubs. The Constitution and Bylaws of Lions International shall govern the operation of our Club. (See the Lions International Lions Club Constitution and Bylaws as outlined in Articles I through XVI and Bylaws 1 through 6. Additional Bylaws approved by our Club also apply as follows:

I. Meetings

A. Two regular dinner meetings will normally be held each month starting at
6:30 PM. They will be held the 2nd and 4th Thursdays of each month
unless conflicts dictate a change. An Attendance Committee will be appointed and report the attendance to the President, Secretary, and Treasurer.

B. The Board of Directors will meet at 5:30 PM before the first monthly meeting or as called by the President.

C. Make-up Meetings: Attendance lost through absence from a regular Lions Club meeting may be made up 30 days prior to, or 30 days following the missed meeting, by attendance at any of the following:

1) Any meeting of another Lions Club
2) Board of Directors meeting of home Club
3) Duly constituted meeting of Club Committee
4) Meeting or project scheduled or sponsored by member's home
Club
5) Regional meeting
6) International, State, or District Convention, or any other recognized Lions meeting
7) Visit to International office or any District or State office outside member's own country
8) Illness, if reported to Club Secretary
9) Military service, jury duty, elected government position or other statutory requirement at the discretion of Club Board
10) Any Lion who misses regular Club meetings because of occupational duties in another area may be given credit at discretion of Club.


II. Membership

Membership is by invitation only and any adult male or female is eligible for membership. A prospective member can be invited to attend regular meetings and the club will only be responsible for the cost of the first meal; prospective members are responsible for future meals. All members should be constantly on alert and invite prospective new members to attend a regular meeting. The Invitation-Application forms for membership can be obtained from the Secretary or the Membership Committee.

Resignations - Any member may resign from this Club and said resignation shall become effective upon acceptance by the Board. The Board may withhold acceptance, however, until all indebtedness has been paid, all Club funds and property have been returned, and all rights to the use of the name "Lions", the emblem, and other insignia of this Club and this Association have been surrendered.

Member-at-Large - A member of this Club who has moved from the community, or because of health or other legitimate reason is unable to regularly attend Club meetings and desires to retain membership in this Club, may be granted this status by the Board. This status shall be reviewed each six months by the Board. A Member-at-Large shall not be eligible to hold office or to vote in Club, district, or International meetings or conventions. The number of Members-at-Large shall be no more than 20% of total members.


III. Finances, Dues, and Fees:

A. The International Entrance Fee is $25 and a Transfer Fee is $20.

B. Club yearly dues are $60 and are payable semiannually ($30) in advance
before December 31St and June 30th. Our fiscal year: July 1st to June 30th. If
new member joining in months other than July and January dues will be pro rated by month joined.

C. Meals - Meal Reservations must be confirmed not later than noon on Tuesday prior to the meeting. Those making reservations and failing to cancel by noon on Tuesday will be charged for the missed meal(s) if the cost is charged to the Club.

D. Signatures on bank accounts shall be the Club Treasurer and the Club Assistant Treasurer. Either signature is sufficient for depositing funds or paying Club bills.

E. A Petty Cash Fund will be maintained and administered by the Treasurer. IV. Assigned Boundaries

Our assigned boundary for fund raising purposes are as follows:

North: Bill's Mountain
South: Polk County Line and Highway 9
East: Cove Creek
West: Henderson County Line

V. Awards, Fellowships, and Scholarships -

The Secretary is responsible for ordering awards as earned.

A. Club "Lion of the Year"

The Club Lion of the Year Committee shall consist of three active members who are the most recent recipients of the award. The senior recipient of the award shall be the Chairman of the Committee. The Committee shall begin work in time to make their confidential report by April 15th each year. The recipient must meet the following criteria:


Mandatory Requirements:

1) Has not received this award in the past three years
2) Has been a member of this Club for at least two years

At least six of the following must be fulfilled:

1) 100% attendance for the past 12 months
2) Served on one or more Club Committees
3) Worked on one or more fund raising projects
4) Worked on a Service Project
5) Sold or purchased two or more books of Camp Dogwood Tickets
6) Secured two or more Eye Wills
7) Brought one or more potential new members to a Club meeting
8) Sponsored one or more new members
9) Attended one or more Board of Directors meetings
10) Attended a Region, Zone, District, NCLF, State or International activity
during the past 12 months.


B. Melvin Jones/Jack Stickley Fellowships

The Fellowship Committee shall consist of four active Club Members who are recipients of either of these two Fellowships. The Chairman shall be the senior recipient of a Melvin Jones Fellowship and will vote only in case of a tie.

Selection Criteria:

1) Has been a Lion for at least two years
2) Has not received the Fellowship within the previous three years
3) Has attended Club meetings regularly
4) Served on one or more Club Committees
5) Worked on a major fund raising project
6) Has demonstrated a dedication to humanitarian services

C. Memorial College Scholarship

A College Scholarship of up to $1,000.00 may be awarded annually to a qualified student in honor of all deceased Lions of the Lake Lure Lions Club. The student must be a resident of North Carolina with place of residence within the Club boundaries assigned by Lions Club International. The student must be a High school Senior graduate from one of the schools serving our area or an undergraduate who is a previous recipient and has maintained a 2.50 GPA or higher. The Scholarship Committee shall consist of three active Club members who will maintain the selection criteria and associated forms.


VI. Charter Night - March 26, 1979

A Charter Night Anniversary meeting may be held each year, at which time special recognition will be given to Charter Members, Monarchs, Melvin Jones and Jack Stickley Fellows and Past Presidents. Fellowship Awards are given.

VII. Election of Club Officers

A. A nomination meeting shall be held in March of each year and notice shall be given to members at least 10 days prior to the time of the meeting.
B. The President shall appoint a nominating committee which shall submit the names of candidates for the various club offices to the club at the nomination meeting. At this meeting nominations for all offices to be filled in the succeeding year may be made from the floor.
C. An election meeting shall be held no later than April l 5th of each year. Two weeks prior, written notice shall be given to the membership. Such notice shall include the names of all nominees approved at the preceding nomination meeting. No nominations may be made from the floor at the election meeting.

VIII. Delegates/Alternates to Conventions and foundation Officer Elections

This Club is entitled to one (1) delegate and one (1) alternate for every twenty-five (25) members or major fraction thereof, at the International Convention; One (1) delegate and one (1) alternate for every ten (10) members or fraction thereof, at District, State or the annual election of Foundation Officers. The selection of each such delegate and alternate shall be evidenced by a certificate signed by the Club Secretary. Past District Governors are automatic delegates to both District and State Conventions. Any Lion who became a Life Member of the NC Lions foundation prior to March 1985 is a delegate for the election of Foundation Officers. Delegates and alternates will be selected from those Lions able to attend these events and who will remain and vote. A Club Convention Fund will be established to help pay the expenses of the delegates.

IX. Amendments

These Bylaws may be amended at a regular or special meeting by the affirmative vote of two-thirds of the members present, provided the Board has previously considered the merits of the amendments. Members must be notified at least 10 days prior to the meeting stating the proposed amendment(s).
